This Agreement, referred to as the Professional Services Agreement ("Agreement"), is entered into between JackBuh LLC ("Provider") and [Client Name] ("Client") on this [date] ("Effective Date"). Services Scope: Provider agrees to deliver professional IT services to Client, as mutually agreed upon by both parties. The specific details of the services to be provided will be outlined in separate service assignments, which will be agreed upon in writing by both parties. The services may encompass, but are not limited to:
- Setting up and configuring networks
- Installing and maintaining hardware and software
- Managing IT infrastructure
- Backing up and recovering data
- Assessing and implementing system security
- Providing helpdesk support
- Offering IT consulting and strategic planning
Office Hours: Provider's office hours are from 8:30 a.m. to 5 p.m., Monday through Friday, excluding state and federal holidays. During these hours, the Provider will be available to address any inquiries or concerns related to the services provided.
Holidays: Provider observes all state and federal holidays. During these holidays, the Provider's office will be closed, and no services will be provided. A list of these holidays will be provided to the Client upon request.
Communication: Client shall contact the Provider's office for any information or queries related to service assignments. The Provider will designate a primary contact person or department for communication purposes. Any changes to the designated contact person will be promptly communicated to the Client.
Cancellation Policies:
- Assignments lasting two (2) hours or less require more than 24 business hours' advance notice.
- Assignments lasting longer than two (2) hours require more than 48 business hours' advance notice.
- Cancellations must be made during business hours. Those made outside of business hours or during holidays will be processed on the next business day.
- Failure to provide the specified cancellation notice will result in billing for the total requested time.
- Weekends and holidays are not considered regular business hours.
- Cancellations should be made via EMAIL or through our website at http://jackbuh.com/contact-us/. It is advised to also call to verify that the notice was received. The following information should be included in the email: a) Date and time of the appointment/request being canceled. b) Location and client's name. c) Name of the appointment/request to be canceled, along with the words "PLEASE CANCEL REQUEST."
Service Assignments: The specific services to be performed by the Provider will be detailed in service assignments. These service assignments will include information such as project scope, deliverables, timelines, and any other relevant details. Both parties will review and sign the service assignments to indicate their agreement.
Compensation: The compensation for the services provided by the Provider will be specified in the service assignments or as otherwise agreed upon in writing by both parties. The Client agrees to make payments according to the agreed-upon terms and schedule. Payment terms, such as hourly rates or project-based fees, will be outlined in the service assignments.
Confidentiality: Both parties acknowledge that during the provision of services, they may have access to confidential information of the other party. They agree to maintain the confidentiality of such information and not disclose it to any third party without prior written consent, except as required by law.
Termination: Either party may terminate this Agreement in writing for any reason with prior notice to the other party. Termination will not affect any ongoing service assignments unless otherwise agreed upon by both parties.
Non-Discrimination: Neither party shall discriminate based on race, color, sex, age, religion, national origin, sexual orientation, pregnancy, marital status, veteran status, or handicap in providing services under this Agreement or in the selection of employees or independent contractors.
Amendments: This Agreement may be amended in whole or in part by mutual agreement between both parties. Any modifications must be made in writing and signed by each party. Such amendments will be attached to this Agreement and become effective upon full execution. Provisions required by applicable laws or regulations will bind both parties, even if not expressly provided in this Agreement. Either party must notify the other in writing at least 30 days before the effective date of such requirements.
Governing Law: This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction]. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts in [Jurisdiction].
Entire Agreement: This Agreement, along with any attached service assignments, constitutes the entire agreement between the Provider and the Client, superseding any prior agreements or understandings, whether written or oral, relating to the subject matter herein.
IN WITNESS WHEREOF, the parties have executed this Professional Services Agreement as of the Effective Date.
Expiration of Service Agreement: This Agreement will expire one (1) year from the date signed by the agency.
Payment Schedule: All payments should be made payable to JackBuh LLC.

AGREEMENT TO CONTRACT FOR SERVICES:
I agree to contract for IT services with JackBuh Services under the outlined terms of service. I understand that this agreement constitutes the full agreement under which both the service provider and requester are bound. This agreement may be terminated by either party with written thirty (30) day notice to the other party informing the other of intent to sever the contract.
