Section 1: Term and Services to be Provided

  1. Time of Performance The duration of this Agreement will commence on [start date] and conclude on [end date], with the option to extend for an additional one-year period at the discretion of the Agency. This Agreement is non-exclusive, allowing the Agency to engage other vendors for similar services during this term.
  2. Purpose of the Agreement and Services to be Provided The purpose of this Agreement is to engage the services of a reputable agency with expertise in comprehensive written and verbal translation and interpretation. The agency will fulfill the occasional needs of the Agency on an intermittent, as-needed basis.

The Contractor is responsible for ensuring the availability of a sufficient number of skilled translators/interpreters, including evenings and weekends. They will provide translation and/or interpretation services from the source language to the targeted language at requested times, locations, dates, and durations specified by the Agency.

To confirm the assignment, the Agency must provide a work order at least 72 hours prior to the scheduled work commencement. The agency's office hours are Monday through Friday, from 8:30 a.m. to 5 p.m., observing all state and federal holidays. After-hours services are available on weekdays after 5:00 p.m., before 8:30 a.m., as well as on weekends and holidays.

2.1 Emergency Interpreting Any service requests made with less than 72 hours' notice or requiring services beyond the originally requested time will be billed at the emergency rate. However, this does not include requests made through our On Call service.

  1. Agency The Agency refers to the entity requesting interpreting services. They will be billed for the services and can also be referred to as the Requestor or Customer.
  2. Out of Town Assignments For assignments located more than a 3-hour drive from our Office in each direction, the Agency must provide or reimburse the following expenses in full: roundtrip airfare, ground transportation and/or parking costs, hotel accommodations, and a per diem expense of $[amount] per day for meals.
  3. On Call Emergency Interpreting Emergency requests related to true medical, mental health, and law enforcement situations will receive top priority. Interpreters are available after hours, from 5 p.m. to 7:30 a.m., every day.

Section 2: Policies and Procedures for Agency Interpreter Services Requests

  1. Timeframe for Requests Due to high demand, JackBuh Services strongly recommends submitting requests with a minimum of 5 to 7 working days' advance notice. Requests made with shorter notice cannot be guaranteed an interpreter, although efforts will be made to secure one.

To request an interpreter, the Agency can visit our website at http://jackbuhservices/languages/request/ or call our phone number (336) 441-7145. The following information must be provided:

a) Date of service needed. b) Time span of service (start time and anticipated end time). c) Address of assignment, including relevant details such as cross street, room numbers, building, parking information, and fees. d) Contact person at the interpreting site and their direct phone/cell number. e) Nature of the assignment, providing as much detail as possible (e.g., 1-1 meeting, computer training, new employee orientation, parent/teacher conference). f) Billing information, including the authorized person, attention to whom, and any required PO#. g) Requestor must provide all invoice requirements in advance for effective processing of Accounts Payable.

  1. Request Duration and Cost To ensure efficient scheduling and accommodate multiple clients, it is advised to secure an interpreter until the anticipated end time of the request. JackBuh Services incurs costs only when an interpreter is dispatched. As interpreters may have other assignments following the original requested time, exceeding the scheduled time will be billed at the emergency rate. Overestimating the time needed is recommended to ensure interpreter availability.

Section 3: Cancellations

Cancellation policies are as follows:

  • Assignments lasting two (2) hours or less require greater than 24 business hours' advance notice.
  • Assignments lasting longer than two (2) hours require greater than 48 business hours' advance notice.
  • Cancellations must be made during business hours, and those made outside of business hours or during holidays will be processed on the next business day.
  • Failure to provide the specified cancellation notice will result in the Agency being billed for the total requested time.
  • Weekends and holidays are not considered regular business hours.
  • Cancellations should be made via EMAIL or through our website at http://jackbuhservices.com/contact-us/. It is advised to also call to verify that the notice was received. The following information should be included in the email: a) Date and time of the appointment/request being canceled. b) Location and patient's name. c) Name of the appointment/request to be canceled, along with the words "PLEASE CANCEL REQUEST."

Section 4: No-Show Policy

  1. In the event of the CUSTOMER/PATIENT/CLIENT failing to appear for a scheduled appointment, the AGENCY remains responsible for full payment of the secured services. The AGENCY should independently confirm the CUSTOMER/PATIENT/CLIENT's attendance. However, if an interpreter is late for a scheduled appointment, the fee for services rendered should be adjusted based on the actual worked time. Payment of the invoice(s) is required within 30 days of receipt by the AGENCY. JackBuh Services incurs costs only when an interpreter is dispatched or when the AGENCY cancels with less than or equal to 24 hours' notice for a 2-hour or shorter job, or less than or equal to 48 hours' notice for any assignment longer than 2 hours.
  2. Independent Contractor Status Both parties are considered independent contractors throughout the agreement. Neither shall be deemed an employee, agent, or partner of the other.

Section 5: Grievance Procedures

Feedback and suggestions for improving JackBuh Services are welcome. If the AGENCY has any complaints, suggestions, or questions regarding policies, procedures, or services, the following guidelines should be followed:

  • Within one week of the occurrence, inform the Director of JackBuh Services, who will investigate and attempt to provide a solution or explanation.
  • To initiate the grievance procedure, a written statement must include:
    • Specific complaint, suggestion, or question.
    • Description of the incident(s).
    • Dates of incidents, including names and titles of individuals involved.
    • Supporting documentation.

Section 6: Termination of Services

Either party may terminate this Agreement by providing written notice to the other party, effective 30 days after receipt of the notice. Termination with cause is also possible in the event of a material breach of the Agreement, with notice specifying the nature of the breach.

Section 7: Indemnifications

  1. JackBuh Services will defend, indemnify, and hold the AGENCY, its officers, agents, and employees harmless from any liability, loss, expense (including reasonable attorney's fees), or claims for injury or damages arising from the performance of this Agreement. This indemnification applies only to the extent that such liability, loss, expense, attorney's fees, or claims are caused by the negligence or intentional acts or omissions of JackBuh Services, its officers, agents, or employees.
  2. The AGENCY will defend, indemnify, and hold JackBuh Services, its officers, agents, and employees harmless from any liability, loss, expense (including reasonable attorney's fees), or claims for injury or damages arising from the performance of this Agreement. This indemnification applies only to the extent that such liability, loss, expense, attorney's fees, or claims are caused by the negligence or intentional acts or omissions of the AGENCY, its officers, agents, or employees.

Section 8: Contract Disputes

All disputes related to this Agreement shall be settled in North Carolina. If any provision is deemed invalid, void, or unenforceable by a court, the remaining provisions shall remain in full force.

Section 9: Amendments

This Agreement may be amended in whole or in part by mutual agreement between both parties. Any modifications must be made in writing and signed by each party. Such amendments will be attached to this Agreement and become effective upon full execution. Provisions required by applicable laws or regulations will bind both parties, even if not expressly provided in this Agreement. Either party must notify the other in writing at least 30 days before the effective date of such requirements. For any questions, please contact us.

Section 10: Non-Discrimination

Neither party shall discriminate based on race, color, sex, age, religion, national origin, sexual orientation, pregnancy, marital status, veteran status, or handicap in providing services under this Agreement or in the selection of employees or independent contractors.

Section 11: Confidentiality

All parties involved in the services rendered must maintain confidentiality regarding any information observed or shared during the service request. Interpreters dispatched by JackBuh Services are required to adhere to the highest standards of confidentiality as set forth by the Registry of Interpreters for the Deaf, Inc.'s Code of Professional Conduct. Exceptions to confidentiality are allowed only when mandated by law or when providing feedback or filing a grievance regarding the services rendered or requested.

Section 12: Rates of Pay

Unless otherwise negotiated in advance:

  • Regular daily rate of payment from 8 AM-6 PM M-F: $100.00 initial fee, then $50.00 per hour thereafter (billed in 1/2 hour increments).
  • After-hours rate from 6 PM-8 AM M-F and 24 hours on Saturday and Sunday: $110.00 initial fee, then $55.00 per hour thereafter (billed in 1/2 hour increments).
  • Legal interpreting assignments: $60.00 initial fee, then $30.00 per hour thereafter (billed in 1/2 hour increments). Assignments with deaf witness testimony require a team interpreter.

Expiration of Service Agreement: This Agreement will expire one (1) year from the date signed by the agency.

 

Payment Schedule: All payments should be made payable to JackBuh Services LLC.

AGREEMENT TO CONTRACT FOR SERVICES:

 

I agree to contract for language interpretation & Translation services with JackBuh Services under the outlined terms of service.  I understand that this agreement constitutes the full agreement under which both the service provider and requester are bound.  This agreement may be terminated by either party with written thirty (30) day notice to the other party informing the other of intent to sever the contract.
